1. Introduction

Welcome to Softaar Technologies UG (haftungsbeschränkt) i.G. ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and products (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Use of Services

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

2.2 Account Registration

  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3. Services and Deliverables

3.1 Service Description

We provide custom software development, AI solutions, IoT integration, SaaS development, maintenance, and consulting services. Specific details of services will be outlined in individual project agreements or statements of work.

3.2 Project Scope

Each project will be governed by a separate agreement that specifies:

  • Project scope and deliverables
  • Timeline and milestones
  • Payment terms and pricing
  • Acceptance criteria
  • Support and maintenance terms

3.3 Changes to Services

We reserve the right to modify, suspend, or discontinue any part of our Services at any time. We will provide reasonable notice of significant changes when possible.

4. Intellectual Property

4.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are the exclusive property of Softaar Technologies or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 Client Intellectual Property

Unless otherwise agreed in writing, all custom work products developed specifically for a client project shall be owned by the client upon full payment. We retain the right to use generic components, frameworks, and methodologies in future projects.

4.3 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes.

5. Payment and Fees

5.1 Pricing

Fees for our Services will be specified in project agreements or invoices. All prices are in Euros (EUR) unless otherwise stated and exclude applicable taxes.

5.2 Payment Terms

Payment terms will be specified in individual project agreements. Typical terms include:

  • Initial deposit before project commencement
  • Milestone-based payments during project execution
  • Final payment upon project completion
  • Payment due within 14 days of invoice date unless otherwise agreed

5.3 Late Payment

Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue payments.

5.4 Refunds

Refund policies will be specified in individual project agreements. Generally, payments for completed work or services already rendered are non-refundable.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of our Services.

Confidential information does not include information that:

  • Is or becomes publicly available through no breach of this agreement
  • Was rightfully in the receiving party's possession prior to disclosure
  • Is independently developed by the receiving party
  • Is rightfully obtained from a third party without confidentiality obligations

7. Warranties and Disclaimers

7.1 Limited Warranty

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. Any warranty claims must be made within 90 days of service delivery unless otherwise specified in the project agreement.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOFTAAR TECHNOLOGIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR €1,000, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Softaar Technologies and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you provide

10. Term and Termination

10.1 Term

These Terms remain in effect while you use our Services or maintain an account with us.

10.2 Termination by You

You may terminate your use of the Services at any time by discontinuing use and closing your account. You remain liable for all charges incurred prior to termination.

10.3 Termination by Us

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

10.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Dresden, Germany.

11.3 Informal Resolution

Before filing a legal claim, you agree to first contact us at service@softaar.de and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally within 60 days.

12. General Provisions

12.1 Entire Agreement

These Terms, together with any project agreements and our Privacy Policy, constitute the entire agreement between you and Softaar Technologies regarding the Services.

12.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

12.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

12.4 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

12.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

12.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
